Terms of Service

1. Definitions

Glotronic LLC ("Glotronic", "We", "Us", "Our") is a web and app development studio based in York County, Pennsylvania. Your (the "User", "You", "Your") use of glotronic.net (Our "Site"), any services We provide on the Site (the "Services"), or custom software We build including web sites, mobile apps, and server applications (the "Software") is governed by these Terms of Service (the "Terms"). The Site, Services, and Software shall be collectively referred to as the product (the "Product"). A given engagement of our Services (an "Engagement") may be governed by a separate agreement.

2. Agreement to the Terms

By using the Product You agree to these Terms.

3. Age restriction

You must be at least 18 years old and able to enter a legally binding agreement to use the Product. You are responsible for making sure Your use of the Product complies with the laws that apply to Your jurisdiction.

4. Acceptable use

You agree not to use the Product to:

• Violate any applicable law
• Attempt to gain unauthorized access to Our systems, other clients' data, or accounts that aren't assigned to You
• Interfere with or disrupt the Site, its infrastructure, or other users' access to it
• Submit false or fraudulent information, including for invoicing or payment

5. Invoices and payment

Invoices are issued through the Site with a private link sent to the email address you provide; you do not need to create an account to view or pay one. Payment is processed entirely by PayPal. Glotronic never receives or stores your card number or other payment credentials. Your use of PayPal to pay an invoice is also subject to PayPal's own terms and privacy policy.

6. Refunds

Unless otherwise agreed in writing for a specific Engagement, invoiced amounts are due on receipt and payments are non-refundable once work has begun or hosting has been provisioned. We may, at Our discretion, issue a refund or credit in specific circumstances, but doing so isn't an obligation or a precedent for future invoices. If a payment is disputed, reversed, or charged back, We may suspend Services tied to that invoice until it is resolved.

7. No guarantee of uninterrupted service

The Product is offered on an "as available" basis. We aim for reliability, and take real, concrete steps toward it, but We do not guarantee uninterrupted uptime, and We are not liable for outages which may be caused by factors outside Our reasonable control (infrastructure providers, network issues, and similar).

8. Limitation of liability

To the extent permitted by law, Glotronic is not liable for indirect, incidental, or consequential damages arising from Your use of the Product. Our total liability for any claim relating to the Product is not to exceed the amount paid to Us for any Engagement giving rise to the claim.

9. Indemnification

You agree to indemnify and hold Glotronic harmless from any claim, loss, or expense, including reasonable legal fees, arising from Your violation of these Terms, misuse of the Product, or information You have provided Us that turns out to be false or fraudulent. This does not apply to claims arising from Our own negligence or breach of these Terms.

10. Ending an Engagement

Either party may end an ongoing Engagement with reasonable notice, consistent with that which is agreed for that specific project.

11. Assignment

You may not assign or transfer Your rights or obligations under these Terms to anyone else without Our written consent. We may assign these Terms in connection with a sale, merger, or reorganization of Our business, or to a successor who continues providing the Services.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles.

13. Entire agreement

These Terms, together with any specific Engagement agreement We sign with You, make up the entire agreement between Us regarding the Services, and replace any prior discussions or understandings about them. If something in a specific Engagement agreement conflicts with these Terms, the Engagement agreement controls for that Engagement.

14. Severability

If a court finds any part of these Terms unenforceable, that part is limited or removed to the minimum extent necessary, and the rest of these Terms remain in full effect.

15. Changes to these Terms

We may update these Terms as Glotronic's Product evolves. We will update the effective date for the Terms when the Terms are changed. Continued use of the Product after a change to these Terms indicates that you have accepted the updated Terms.
